By accessing or using the services provided by Clovershot, you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.

1) Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website at clovershot.com and any associated software, dashboards, or automation tools (collectively, the “Services”) provided by Clovershot (“Company,” “we,” “us,” or “our”). By using our Services, you agree to these Terms in their entirety.

2) Description of Services

Clovershot provides custom business workflow automation solutions, including but not limited to: custom dashboards, AI-powered automation, data integrations, reporting tools, and related consulting services. Each client receives a tailored implementation based on their specific business needs.

3) Accounts and Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

4) Fees and Payment

Services are provided under a setup fee and recurring monthly retainer as agreed upon in your service agreement. All fees are non-refundable unless otherwise specified in writing. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your access.

5) Intellectual Property

All software, dashboards, tools, and content developed by Clovershot remain the intellectual property of Clovershot unless otherwise agreed in writing. You retain ownership of your data. We grant you a non-exclusive, non-transferable license to use the Services during the term of your agreement.

6) Client Data

You retain all rights to data you provide to us. We will use your data solely to deliver the Services and will not sell, share, or disclose your data to third parties except as required by law or as necessary to provide the Services (e.g., third-party integrations you authorize). 7) Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malware, spam, or other harmful content

8) Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.

9) Termination

Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate access immediately if you breach these Terms. Upon termination, we will provide a reasonable period to export your data.

10) Limitation of Liability

To the maximum extent permitted by law, Clovershot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

11) Indemnification

You agree to indemnify and hold harmless Clovershot and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12) Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the revised Terms.

13) Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
